  • Third-Party Materials – Content or tools owned by external providers and used with permission.

Development and Service Delivery

Services are delivered in accordance with the agreed milestones and scope. Professional judgment is applied at all times, and commercially reasonable efforts are used to meet agreed objectives and timelines.

Proposals and Scope

Proposals are valid for 30 days from the date issued. If not accepted within this period, we reserve the right to revise, withdraw, or resubmit the proposal.

Fees, Expenses, and Taxes

Unless stated otherwise:

  • Third-party services or licenses are billed separately
  • Approved expenses may be charged at cost
  • Clients are responsible for applicable taxes related to the services

Payment Terms

Invoices are payable within five (5) days of issuance unless otherwise agreed in writing. Payment schedules may be milestone-based as outlined in the Agreement.

Changes to Scope

All change requests must be submitted in writing.
Minor adjustments that do not significantly affect timelines or costs may be handled within the existing Agreement.
Material changes require a revised or supplemental agreement.
Proposals include an acceptance period of fourteen (14) working days unless stated otherwise.

Delays

Delays caused by missing information, late approvals, or other client-related factors extend timelines on a day-for-day basis.
If delays arise on our side, we will communicate them promptly.
Events beyond reasonable control may extend delivery timelines and are not considered a breach of these Terms.

Review and Acceptance

Deliverables are internally reviewed before submission.
Clients have seven (7) working days to review and request revisions.
Approved revisions are handled within a reasonable timeframe based on scope and complexity.

Client Responsibilities

Clients confirm that all materials provided are lawful, accurate, and ready for use.
Unless otherwise agreed, clients are responsible for final proofreading and approvals.
Timely decisions and coordination with third parties are required to maintain delivery schedules.

Attribution and Portfolio Use

Unless agreed otherwise, we may include a factual credit or reference to completed work and display it in our portfolio. Neither party will unreasonably prevent accurate, non-misleading references.

Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties. This obligation does not apply to information that is publicly available or lawfully obtained from other sources.

Relationship of the Parties

The relationship is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or exclusive relationship. Subcontractors may be used where appropriate, with responsibility retained by us.

Limitation of Liability

Services are provided on an “as is” basis to the extent permitted by law. Liability is limited to the amount paid for the specific services giving rise to the claim.

Rights to Work Produced

Upon full payment, the client receives a non-exclusive, perpetual, worldwide license to use the Final Deliverables as agreed.
Company tools, frameworks, and underlying methodologies remain our property unless transferred in writing.
Modification or derivative use may be restricted where stated in the Agreement.

Support Services

Support or maintenance services are provided only if expressly agreed and may be billed separately. Any warranty does not apply to work altered by third parties.

Updates to These Terms

These Terms and Conditions may be updated periodically. The current version published on the website governs use. Continued use of the site or services indicates acceptance of any updates.
